Terms of Use & End User Licence Agreement

These Terms of Use ("Terms") govern access to and use of the mobile application TheUp, our related website and APIs (together, the "Services"), provided by 7Stockapp OÜ (registry code 16976938), Lahtri tn 12, 15551 Tallinn, Estonia ("we", "us", "our"). These Terms include the End User Licence Agreement in Section 7. By downloading, accessing or using the Services, you agree to these Terms and our Privacy Policy.

If you do not agree, do not access or use the Services.


1. Our Services

TheUp is an AI-assisted personal-finance tracking and planning tool. Depending on your plan and device, the Services may let you:

  • record income, expenses, transfers, savings and recurring payments;
  • create budgets and goals, track subscriptions, and plan debts using payoff strategies and scenarios;
  • view summaries, safe-to-spend estimates, forecasts and net-worth calculations based on data you provide;
  • chat with an AI assistant, create optional AI Skills and prepare entries or other supported actions for your confirmation;
  • upload statements and receipts to create draft entries that you review and confirm;
  • track investment holdings using delayed, information-only market data;
  • use multiple currencies and automatic or manually entered exchange rates;
  • share selected types of data with people you invite to a household;
  • connect compatible external tools that you select and authorise; and
  • receive reminders and insights derived from your own data.

TheUp is not a bank, broker, payment institution or investment adviser. We do not hold or move money, connect to your bank account or execute trades. The Services operate on information you enter, import or choose to retrieve.

Nothing in the Services is investment, tax, accounting or legal advice. Calculations, subscription detection, forecasts, exchange rates, market prices and AI responses can be incomplete, delayed or wrong. You must review information before relying on it and remain responsible for your decisions.

2. Eligibility and Account Security

  • You must be at least 16, or the higher minimum age required in your jurisdiction, to use the Services.
  • TheUp uses passwordless email verification and may support Google or Apple sign-in. You are responsible for protecting access to your email account, social sign-in account and device.
  • You must provide accurate information, keep it current and tell us promptly if you suspect unauthorised use.
  • You are responsible for activity performed through your account, except to the extent caused by our failure to meet a legal duty.

3. Acceptable Use

You must not:

  • use the Services for unlawful, fraudulent, abusive or harmful activity;
  • submit content that unlawfully infringes another person’s rights;
  • probe, scan, test or bypass security, authentication, limits or access controls;
  • disrupt the Services or place an unreasonable load on our infrastructure;
  • reverse engineer or derive source code except where applicable law expressly permits it;
  • use unauthorised bots, scrapers or automated access; or
  • use a connected external tool without the permissions, rights and authority required by its operator and applicable law.

4. Subscriptions, Billing and App Stores

TheUp may offer free access and paid plans, such as Premium, with different features or usage limits.

4.1 App Store Purchases

  • Paid subscriptions and in-app purchases are processed by Apple App Store or Google Play (the "App Stores"), not directly by us.
  • Payment information, taxes, billing, cancellation and refunds are governed by the applicable App Store’s terms and applicable law.
  • We do not collect or store your full payment-card details.

4.2 Term, Renewal and Cancellation

  • The billing period and price shown in the applicable App Store before purchase apply to your subscription.
  • A subscription automatically renews unless you cancel it through your App Store account before renewal, subject to the store’s rules.
  • Cancellation prevents future renewals. Access normally continues until the end of the paid period; refunds, credits and exceptions are decided under the App Store’s policy and applicable consumer law.

4.3 Trials and Plan Changes

  • If a trial converts to a paid subscription, the price, duration and conversion terms shown before you start the trial apply.
  • Available plans, limits and prices may change. Required notice and consent for a price change will be handled through the App Store or Services.

5. AI, Skills and Connected External Tools

The Services use AI providers such as OpenAI and Google. Outputs can be inaccurate, incomplete, biased or unsuitable. Treat them as suggestions, review proposed actions and do not rely on them as professional advice.

  • Supported changes prepared by the assistant require the confirmation shown in the app before they are saved.
  • An AI Skill contains instructions you create. When active, those instructions may affect answers and may be sent with your request to the selected AI provider.
  • You decide which compatible external tool server to connect and which declared tools to allow. Credentials are stored on your device and calls to that service are made from your device.
  • The tool operator is an independent third party. Its terms, privacy practices, availability and charges apply, and we do not control its response or conduct.
  • You are responsible for having authority to send information to a connected service and for reviewing tool requests, responses and any resulting action.
  • We may suspend or block tool access that threatens security, violates these Terms or could harm the Services or others.

6. Intellectual Property

The Services, including software, design, logos, text and graphics other than your content, are owned by or licensed to us and protected by intellectual-property law.

  • You receive only the limited licence in Section 7 for personal, non-commercial use.
  • You may not copy, modify, distribute, sell, lease or exploit the Services except as these Terms or mandatory law expressly allow.

7. Software Licence (EULA)

This Section governs TheUp mobile software and its updates, enhancements and supplements (the "Software").

7.1 Licence Grant

Subject to these Terms and the applicable App Store rules, we grant you a personal, limited, revocable, non-exclusive, non-transferable licence to download, install and use the Software on devices you own or control for personal, non-commercial purposes. Usage Rules that permit access through Family Sharing or a similar feature continue to apply.

7.2 Restrictions

You must not, and must not permit another person to:

  • copy, adapt, translate, distribute, sell, rent, lease, sublicense or create derivative works from the Software except as expressly allowed;
  • reverse engineer, decompile or disassemble the Software except where mandatory law allows it;
  • remove proprietary notices; or
  • circumvent or interfere with security or access-control features.

7.3 Ownership and Updates

The Software is licensed, not sold. We and our licensors retain all ownership and intellectual-property rights. We may provide updates that add, change or remove functionality. Some features may stop working if you do not install a required update.

7.4 Apple-Specific Terms

If you obtain the Software through Apple App Store:

  • these Terms are between you and 7Stockapp OÜ, not Apple, and we are responsible for the Software and its content;
  • Apple has no obligation to provide maintenance or support for the Software;
  • if the Software fails to conform to an applicable warranty, you may notify Apple and Apple may refund the purchase price, if any, to the extent required by its rules; to the maximum extent permitted by law, Apple has no other warranty obligation;
  • we, not Apple, are responsible for addressing claims relating to the Software, including product-liability, legal-compliance and intellectual-property claims, subject to these Terms and applicable law;
  • Apple and its subsidiaries are third-party beneficiaries of this Section and may enforce it once you accept these Terms; and
  • you represent that you are not located in a country subject to a relevant government embargo and are not on a relevant prohibited-party list, and you must comply with applicable third-party and export-control terms.

8. Your Content and Imports

You retain ownership of content you submit, including accounts, transactions, notes, uploaded files, Skill instructions and chat messages.

  • You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit and display that content only as needed to provide, secure and support the features you request, as described in the Privacy Policy.
  • You confirm that you have the rights and authority to submit the content, including statements, receipts and information relating to another household member.
  • Statement and receipt results are drafts. You are responsible for checking dates, amounts, currencies, categories and possible duplicates before confirming them.

9. Households and Sharing

  • You may invite other users to a household and choose which supported data types to share.
  • Active members can see and, depending on their role, interact with information shared to that household. Invite only people you trust and review your sharing settings.
  • You are responsible for having authority to send an invitation and share the selected information.
  • Leaving a household ends current sharing access but does not transfer, copy or delete your own records.

10. Service Availability and Changes

  • The Services are provided on an "as is" and "as available" basis. We do not guarantee uninterrupted, error-free operation.
  • We may modify, suspend or discontinue features, plans or content. Where reasonably possible and legally required, we will give notice of a material change.
  • Third-party AI, market-data, App Store and connected-tool services may change or become unavailable outside our control.

11. Limitation of Liability

To the maximum extent permitted by law, we and our directors, employees, contractors and partners are not liable for indirect, incidental, special, consequential or punitive loss, lost profits, lost revenue, lost data or loss arising from reliance on AI, forecasts, market data or an external tool.

Nothing in these Terms excludes or limits liability, warranties or consumer remedies that applicable law does not allow us to exclude or limit.

12. Term, Suspension and Termination

  • These Terms apply from your first use until your account or use ends.
  • You may stop using the Services and delete your account through the available in-app setting.
  • We may suspend or terminate access for a material breach, security risk, abuse, legal requirement or App Store requirement. Where appropriate, we will provide notice and an opportunity to remedy the issue.

13. Governing Law and Disputes

These Terms are governed by Estonian law, without depriving a consumer of mandatory protections available under the law of their residence. Courts and dispute-resolution bodies with jurisdiction under applicable law may hear a dispute.

14. Changes to These Terms

We may update these Terms as the Services or legal requirements change. We will post the new version here, change the date above and provide additional notice where required. If a material change requires consent, it will not apply until that consent is obtained.
