End User Licence Agreement (EULA)

This End User Licence Agreement ("EULA") is a legal agreement between you and 7Stockapp OÜ (registry code 16976938), Lahtri tn 12, 15551 Tallinn, Estonia ("we", "us", "our") governing your use of the TheUp mobile application and any updates, enhancements or supplements (together, the "Software"). By downloading, installing or using the Software, you agree to be bound by this EULA.

If you do not agree to the terms of this EULA, do not install or use the Software. This EULA is intended as a general template and does not constitute legal advice; please consult your legal advisor to adapt it to your specific circumstances.

1. Licence Grant

Subject to your continued compliance with this EULA and any applicable App Store terms, we grant you a personal, limited, revocable, non-exclusive and non-transferable licence to:

download and install one copy of the Software on your personal devices; and
use the Software solely for your own non-commercial, personal purposes,

strictly in accordance with this EULA, our Terms of Use and the terms and conditions of the Apple App Store or Google Play Store (as applicable).

2. Restrictions

You agree that you will not, and will not permit any third party to:

copy, modify, adapt, translate, create derivative works based on, distribute, sell, rent, lease or sublicense the Software, except as expressly permitted by this EULA;
reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of the Software, except to the extent that such activity is expressly permitted by applicable law;
remove, alter or obscure any copyright, trademark or other proprietary rights notices from the Software;
use the Software for any unlawful, fraudulent or harmful purpose or in a manner that could damage, disable or overburden our systems;
circumvent, disable or otherwise interfere with security-related features or access control mechanisms of the Software or related services.

3. Ownership

The Software is licensed, not sold. All rights, title and interest in and to the Software (including all intellectual property rights) are and shall remain with us and our licensors. This EULA grants you no ownership rights in the Software, only a limited licence to use it as expressly set out herein.

4. Updates and Changes

We may, from time to time, provide updates, patches or new versions of the Software, which may be installed automatically or may require you to update manually via the App Store or Google Play Store.

Updates may modify or remove certain features or functionalities of the Software.
You agree that we have no obligation to provide any specific features or future updates.
If you choose not to install updates, the Software or some of its features may not function properly.

5. Data Collection and Privacy

The Software may collect and process certain information, such as account data, device information, usage statistics, notification preferences and content you provide. The processing of personal data in connection with the Software is described in our Privacy Policy, which forms part of this EULA. By using the Software, you acknowledge that you have read and understood our Privacy Policy.

6. App Store and Google Play Terms

If you obtained the Software from the Apple App Store or Google Play Store, your use of the store itself is also governed by its own terms and conditions. To the extent that any store terms conflict with this EULA, the store terms may apply in relation to your relationship with the store. However, this EULA governs the relationship between you and us.

7. Subscription Features

Certain features of the Software may only be available through a paid subscription (for example, a "Premium" entitlement provided via RevenueCat and the App Stores).

Subscription purchases, billing, renewals and cancellations are handled by the App Stores according to their rules.
We do not process or store your full payment details. We may receive information about your subscription status and entitlements from our billing provider.
Your access to premium features may depend on your active subscription and successful payment as reported to us by the App Stores and our billing provider.

8. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Software is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy or non-infringement.

We do not guarantee that the Software will be error-free, uninterrupted, secure, or that it will meet your specific requirements or expectations. AI-generated content may be inaccurate, incomplete or inappropriate, and you remain responsible for how you use it.

9. Limitation of Liability

To the fullest extent permitted by law, we and our directors, employees, contractors and partners shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising out of or in connection with your use of or inability to use the Software.

Nothing in this EULA shall limit or exclude any liability that cannot be limited or excluded under applicable law.

10. Term and Termination

This EULA is effective from the date you first install or use the Software and continues until terminated by you or us.
You may terminate this EULA at any time by uninstalling the Software from all of your devices.
We may terminate or suspend your licence immediately if you materially breach this EULA or if required by law or by our partners (including the App Stores).

Upon termination, you must cease all use of the Software and delete all copies from your devices. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability and governing law) will remain in effect.

11. Governing Law

Unless mandatory law provides otherwise, this EULA is governed by the laws of Estonia, without regard to its conflict of law rules. The specific dispute resolution mechanism and competent courts should be confirmed with your legal advisor to ensure compliance with applicable consumer and jurisdiction rules.
